Standard Service Agreement
The standard contract governing commercial cleaning and facility services performed by MN Facility Pro. This agreement is governed by the laws of the State of Minnesota.
Parties
This Service Agreement ("Agreement") is entered into between MN Facility Pro ("Company," "we," or "us"), a commercial cleaning provider headquartered in Minneapolis, Minnesota, and the client identified in the signed proposal or work order ("Client" or "you"). This Standard Service Agreement applies to any recurring or one-time cleaning engagement unless the parties sign a written agreement that expressly supersedes it.
1. Scope of services
The Company will provide commercial cleaning, janitorial, floor care, carpet care, window cleaning, post-construction cleaning, and related facility sanitation services ("Services") at the facility identified in the proposal. The specific scope, frequency, areas to be serviced, and pricing are set out in the written proposal or work order signed by the Client, which is incorporated into this Agreement by reference.
2. Term and 30-day exit window
Recurring Services begin on the start date in the proposal and continue for the agreed term. Either party may terminate this Agreement within the first 30 days of service for any reason, with no penalty, upon written notice. After the 30-day exit window, either party may terminate a recurring agreement with 30 days' written notice. One-time or project Services may be cancelled up to 48 hours before the scheduled start without charge; cancellations within 48 hours may be subject to a reasonable preparation fee.
3. Fees and payment
The Client agrees to pay the fees set out in the proposal. Unless otherwise stated, recurring Services are invoiced monthly in advance and one-time projects on completion. Invoices are due within 30 days. Overdue balances may accrue interest at the maximum rate permitted by Minnesota law. The Client is responsible for reasonable collection and legal fees incurred to recover unpaid amounts.
4. Scheduling and access
The Client will provide safe, reasonable access to the facility at scheduled service times, including access to utilities, equipment, and areas to be serviced. The Company is not liable for delays or incomplete service caused by denied or restricted access, security procedures, or hazardous conditions not disclosed in advance.
5. Client responsibilities
- Provide accurate facility information, including square footage, traffic, and known hazards.
- Remove or secure valuables, sensitive equipment, and confidential materials before service.
- Disclose any special access, security, safety, or industry-specific requirements before service begins.
- Maintain safe working conditions at the facility during service.
6. Standards and compliance
The Company performs Services in alignment with applicable OSHA, CDC, EPA, and Minnesota state regulations. The Client is responsible for compliance with laws and policies governing its own facility, including industry-specific requirements (such as healthcare or food-service environments), and for disclosing those requirements before service begins.
7. Insurance
The Company maintains general liability and workers' compensation coverage; certificates are available on request. The Client agrees to maintain insurance covering its own property and operations at the serviced facility.
8. Limitation of liability
To the fullest extent permitted by law, the Company's liability for any claim arising out of Services is limited to the amount paid by the Client for the specific service giving rise to the claim. The Company is not liable for indirect, incidental, special, or consequential damages, or for damage to property caused by pre-existing conditions, undisclosed hazards, or Client negligence.
9. Indemnification
Each party agrees to indemnify and hold harmless the other from claims, damages, and expenses (including reasonable legal fees) arising out of its own negligence or willful misconduct, or breach of this Agreement, to the extent caused by the indemnifying party.
10. Confidentiality
The Company will treat all non-public information observed at the Client's facility as confidential and will not disclose it except as required by law. Crew members are trained on access and security protocols appropriate to the Client's site.
11. Independent contractor
The Company is an independent contractor. Nothing in this Agreement creates a partnership, joint venture, or employment relationship. The Company's personnel are not employees of the Client.
12. Governing law and venue (Minnesota)
This Agreement is governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Hennepin County, Minnesota, for any dispute arising out of or relating to this Agreement, and waive any objection to venue in those courts.
13. Dispute resolution
The parties agree to attempt in good faith to resolve any dispute through prompt written notice and negotiation. If the dispute is not resolved within 30 days, either party may pursue its remedies in the courts of Hennepin County, Minnesota, as provided above.
14. Entire agreement and amendments
This Agreement, together with the signed proposal or work order, constitutes the entire agreement between the parties regarding the Services and supersedes all prior understandings. Any amendment must be in writing and signed by both parties. If any provision is found unenforceable, the remaining provisions remain in full force.
