Terms & Conditions of Service

These Terms govern any request for a quote, proposal, or cleaning service obtained through this website or any agreement reached with MN Facility Pro ("we," "us," or "the Company"). By requesting a quote or engaging our services, you ("the Client") accept these Terms.

MN Facility Pro provides commercial cleaning, janitorial, carpet care, floor care, and related facility sanitation services for commercial properties. The specific scope, frequency, pricing, and service location for any engagement are set out in the written proposal or service agreement provided to the Client. In the event of any conflict between these Terms and a signed service agreement, the signed agreement controls.

Ballpark estimates generated by our online quote tools are working approximations based on the information you provide and do not constitute a binding offer. Final pricing is confirmed only after a site walkthrough and is set out in a written, signed proposal. We reserve the right to adjust estimates if the information provided is materially incomplete or inaccurate.

The Client agrees to provide reasonable, safe access to the facility at the scheduled service times, including access to utilities, equipment, and areas to be serviced. We are not liable for delays or incomplete service caused by denied or restricted access, security procedures, or hazardous conditions not disclosed in advance.

Unless otherwise stated in the service agreement, invoices are due per the billing cycle agreed in the proposal (typically monthly in advance for recurring services, or on completion for one-time projects). Overdue balances may accrue interest at the maximum rate permitted by Minnesota law. The Client is responsible for any reasonable collection or legal fees incurred to recover unpaid amounts.

Every recurring service agreement includes a 30-day exit window: either party may terminate the agreement within the first 30 days of service with no penalty, upon written notice. After the exit window, either party may terminate a recurring agreement with 30 days' written notice. One-time or project services may be cancelled up to 48 hours before the scheduled start without charge; cancellations within 48 hours may be subject to a reasonable preparation fee.

• Provide accurate facility information, including square footage, traffic, and any known hazards.
• Remove or secure valuables, sensitive equipment, and confidential materials before service.
• Notify us of any special access, security, or safety requirements in advance.
• Maintain safe working conditions and disclose any conditions that may affect crew safety.

To the fullest extent permitted by law, MN Facility Pro's liability for any claim arising out of services is limited to the amount paid by the Client for the specific service giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, or for damage to property caused by pre-existing conditions, undisclosed hazards, or Client negligence.

MN Facility Pro maintains general liability and workers' compensation coverage. Certificates of insurance are available on request. The Client agrees to maintain insurance covering its own property and operations at the serviced facility.

We perform services in alignment with applicable OSHA, CDC, EPA, and state regulations. The Client is responsible for compliance with laws and policies governing its own facility, including any industry-specific requirements (such as healthcare or food-service environments) and for disclosing those requirements before service begins.

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-laws principles. Any dispute shall be resolved in the state or federal courts located in Hennepin County, Minnesota.

We may revise these Terms from time to time. The "Last updated" date above reflects the most recent revision. Services performed after a change are governed by the Terms in effect at the time of service.
